Senior Deputy General Counsel

As senior deputy general counsel, Joy provides legal and strategic advice for Promontory’s engagements and contributes to the firm’s legal compliance, internal controls, and risk management functions. In particular, her work involves advising the firm on a broad range of issues related to compliance, corporate finance, contract negotiation and interpretation, general corporate representation, and strategic investments. In addition, her work on client engagements includes providing strategic advice on consumer compliance issues and loan portfolio analysis.


Prior to joining Promontory, Joy was a special counsel at Sullivan & Cromwell LLP, where her practice focused on credit and leveraged finance, mergers and acquisitions, and capital-market transactions. She advised numerous financial institutions and other public and private companies on a variety of secured and unsecured financing transactions, as well as a variety of registered, unregistered, and exempt debt, equity, and hybrid capital-market transactions. She also represented borrowers and lenders in structuring and documenting a broad range of structured financial transactions and commercial lending transactions, including acquisition financing and senior secured and second-lien loan facilities. She worked closely with borrowers following leveraged-finance and other transactions to develop an ongoing compliance infrastructure in response to resulting new and increased compliance obligations. In addition, she represented acquirers and sellers in connection with a variety of domestic and cross-border acquisitions, including leveraged buyouts and asset acquisitions and dispositions. She also represented companies listed on the New York Stock Exchange, in connection with their initial listing, ongoing compliance with the listing rules, and reporting obligations to the Securities and Exchange Commission. Prior to law school, Joy worked in various management positions at ITT Consumer Financial Corporation, where she was responsible for senior-management-level approval on personal and home equity lending, rescheduling of delinquent and settlement accounts, and foreclosure proceedings, as well as managing regional and local branch operations. She developed a supervision and training program for regional managers and sales offices and developed and administered sales training seminars and management training seminars for branch managers. Joy also worked closely with senior management on market analysis and productivity analysis.
